The Board's governance role is to provide governance and to ensure that CMDHB fulfils its statutory functions in the use of public resources. The current Board governance structure includes three statutory committees and five non-statutory committees (including Advisory Groups) which assist the Board to meet it's responsibilities. The committees include minutes/agendas of Board members, clinicians and community representatives.
Whilst the Board maintains overall responsibility for the DHB's performance, operational and management matters are assigned to the Chief Executive.
In recognition of the strategic requirement for shared system wide accountability and integration across community and hospital care providers, CMDHB has an established district alliance with and related District Strategic Alliance Agreement with the five PHO partners operating within the Counties Manukau district.
This includes ProCare, National Hauora Coalition, Alliance Health Plus, Total Healthcare and East Health Trust.

The Executive Leadership Team is the primary executive decision-making body of the District Health Board, with the responsibility for the design and development of the strategic direction of the health system as well as ensuring that the organisation delivers on it's objectives and key performance requirements.
The State Services Commission has requested that Chief Executives of all statutory crown entities (including DHBs) voluntarily disclose all expenses and gifts in the hopes that this will enhance public trust through open disclosure of expenditure.
